These Terms of Service govern your access to and use of baltay.ai and any content, functionality, or services offered on it. The site is operated by Baltay AI LLC, a Massachusetts limited liability company. In these terms, “we”, “us”, and “our” mean Baltay AI LLC, and “you” means the person or entity accessing the site.
By accessing or using the site, you agree to be bound by these terms. If you do not agree to them, do not use the site.
The site is informational
Everything on this site is provided for general informational purposes. It is not professional, legal, financial, tax, or technical advice, and you should not act on it without your own independent evaluation. Nothing on the site creates a consulting, advisory, fiduciary, or client relationship of any kind.
Nothing on the site is an offer to sell or a solicitation to buy any service. Any engagement between you and Baltay AI LLC is governed exclusively by a separate written agreement signed by both parties. If anything on this site conflicts with such an agreement, the signed agreement controls.
Booking a meeting
Requesting or scheduling a call through the site does not create any obligation on either side. We may decline, reschedule, or cancel any meeting at our discretion, and we make no commitment to provide services as a result of a scheduling request.
What you send us
Any information you submit through the site, including anything you type into a booking form, is submitted on a non-confidential and non-proprietary basis unless a signed agreement or a written non-disclosure agreement already covers it. Do not send us confidential, sensitive, regulated, or trade secret information through this site.
You grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, and adapt anything you submit for the purpose of responding to you and operating and improving our business. You represent that you have the right to submit what you submit, and that it does not infringe anyone's rights or violate any law or obligation you are under.
Intellectual property
The site and all of its content, including text, design, layout, graphics, logos, code, and the selection and arrangement of it, is owned by Baltay AI LLC or its licensors and is protected by United States and international intellectual property law. The Baltay AI name and logo are our marks. Nothing in these terms grants you any license or right to use them.
You may view and print pages from the site for your own internal, non-commercial reference. You may not copy, reproduce, republish, distribute, modify, create derivative works from, sell, scrape, mine, or otherwise exploit any part of the site for any commercial purpose without our prior written consent.
Acceptable use
You agree not to do any of the following.
- Use the site in any way that violates any applicable law or regulation.
- Attempt to gain unauthorized access to the site, its servers, or any system or network connected to it.
- Interfere with, disrupt, overload, or impair the operation of the site, or probe or test its vulnerability.
- Submit false, misleading, or fraudulent information, or impersonate any person or entity.
- Introduce any virus, malware, or other material that is malicious or technologically harmful.
- Use any automated system to access the site in a manner that sends more requests than a human could reasonably produce in the same period.

The site may contain links to third party websites or resources. We provide those links for convenience only. We do not control, endorse, or assume any responsibility for the content, privacy practices, or accuracy of any third party site, and your use of them is at your own risk.
No warranties
The site is provided on an “as is” and “as available” basis, with all faults. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the site will be accurate, complete, reliable, current, secure, uninterrupted, or error free, that any defect will be corrected, or that the site or the servers that make it available are free of viruses or other harmful components. Any reliance you place on the site is strictly at your own risk.
Limitation of liability
To the fullest extent permitted by law, in no event will Baltay AI LLC or its members, managers, officers, employees, contractors, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, or anticipated savings, arising out of or in connection with your use of or inability to use the site, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the site or these terms will not exceed one hundred United States dollars.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions our liability is limited to the greatest extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Baltay AI LLC and its members, managers, officers, employees, contractors, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the site, your violation of these terms, or your violation of any right of any third party.
Governing law and dispute resolution
These terms and any dispute arising out of or relating to them or the site are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law rules.
Any dispute arising out of or relating to these terms or the site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in Boston, Massachusetts, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction.
You and Baltay AI LLC each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and Baltay AI LLC each waive any right to a trial by jury. If a court decides that this paragraph is unenforceable as to a particular claim, that claim alone may proceed in the state or federal courts located in Suffolk County, Massachusetts, and you consent to the exclusive jurisdiction and venue of those courts. The remainder of this section stays in force.
Any claim arising out of or relating to the site or these terms must be brought within one year after the claim arises. Otherwise it is permanently barred.
Changes
We may revise these terms at any time by posting an updated version on this page. Changes take effect when posted, and the effective date above will be updated. Your continued use of the site after a change means you accept the revised terms. We may also modify, suspend, or discontinue the site or any part of it at any time without notice or liability.
General
If any provision of these terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of it. You may not assign these terms without our prior written consent, and we may assign them freely. These terms, together with our Privacy Policy, are the entire agreement between you and Baltay AI LLC regarding the site, and supersede any prior understanding on that subject.
